1. Definitions

• Customer: Any individual or business purchasing products from GT Eyewear.
• Products: All eyewear, frames, sunglasses, accessories, and related goods sold by GT Eyewear.
• Site: gteyewear.com and any GT Eyewear-operated ordering platform.
• Account: A registered wholesale customer profile.

2. Wholesale Accounts & Eligibility

• GT Eyewear supplies products exclusively to licensed optical retailers and approved B2B customers.
• We may request proof of business registration or professional licensing.
• Account approval is at GT Eyewear’s sole discretion. We reserve the right to suspend or terminate accounts for violations of these Terms.

3. Orders & Order Acceptance

• Orders may be placed online, by email, or by phone.
• All orders are subject to acceptance by GT Eyewear.
• An order is considered accepted once invoiced or shipped.
• GT Eyewear reserves the right to refuse or cancel any order, including those exceeding approved credit limits.

4. Pricing, Taxes & Availability

• All prices are wholesale prices and subject to change without notice.
• Prices do not include applicable taxes, duties, or shipping unless stated otherwise.
• In the event of pricing or product errors, GT Eyewear reserves the right to correct the error or cancel the order.

5. Payment Terms & Authorization

5.1 Payment Methods
Accepted payment methods include credit card, e-transfer, bank transfer, or approved credit terms.

5.2 Payment Due Dates
Invoices must be paid according to the terms shown on the invoice (e.g., Due on Receipt, Net 30).

5.3 Credit Card on File – Authorization
By registering on the GT Eyewear website or providing payment details, the Customer authorizes GT Eyewear to securely store their payment method and to process payment for any outstanding invoice when it becomes due. This authorization includes partial or full payment of overdue balances. GT Eyewear may send payment reminders; however, prior notice is not required before processing a due or past-due payment.

5.4 Late Payments
Overdue balances may be subject to interest of 2% per month (24% annually) or the maximum allowed by law.

6. Shipping & Risk of Loss

• Orders are shipped via carriers selected by GT Eyewear unless otherwise agreed.
• Shipping charges will be added to the invoice.
• Delivery timelines are estimates only.
• Risk of loss or damage transfers to the Customer once goods are handed to the carrier.
• Shipping damage must be reported within 48 hours of delivery.

7. Warranty, Returns & Exchanges

Warranty

• All GT Eyewear products include a 1-year warranty from the date of purchase covering manufacturing defects.
• Diverso frames are covered by a lifetime warranty, subject to normal wear and tear exclusions.
• Warranty does not cover misuse, accidents, or normal wear.

Returns

• All returns must be pre-approved by GT Eyewear Head Office before being sent back.
• Returns without prior approval may be refused.
• Approved returns must be unused, unaltered, and in original packaging.

Exchanges

• All exchanges require prior approval from GT Eyewear Head Office.
• Exchanges are accepted on a 3:1 basis, unless otherwise agreed in writing.
• Products must be returned with original cases and in clean, resellable condition.

8. Intellectual Property

All trademarks, logos, images, catalogs, and website content are the property of GT Eyewear or its licensors. Use of GT Eyewear branding or content for advertising or resale purposes requires prior written approval.

9. Online Sales & Resale Restrictions

• Selling GT Eyewear products on third-party marketplaces (e.g., Amazon, eBay) is prohibited without written authorization.
• Products are intended for resale within Canada unless otherwise approved.
• Customers must comply with any applicable Minimum Advertised Price (MAP) policies.

10. Limitation of Liability

To the fullest extent permitted by law, GT Eyewear shall not be liable for indirect, incidental, or consequential damages. GT Eyewear’s maximum liability shall not exceed the purchase price of the products giving rise to the claim.

11. Customer Responsibilities

Customers agree to:

• Maintain accurate account and billing information
• Keep login credentials secure
• Review invoices promptly
• Notify GT Eyewear of discrepancies within 7 days

12. Account Suspension & Termination

• GT Eyewear may suspend or terminate an account for unpaid invoices, misuse of payment terms, resale or MAP violations, or breach of these Terms.
• Upon termination, all outstanding balances become immediately due.

13. Privacy

Use of the Site is subject to GT Eyewear’s Privacy Policy. By using our services, you consent to the collection and use of information in accordance with that policy.

14. Governing Law

These Terms are governed by the laws of the Province of Alberta and the laws of Canada. Any disputes shall be subject to the exclusive jurisdiction of Alberta courts.
